{"id":837,"date":"2019-01-30T11:30:54","date_gmt":"2019-01-30T11:30:54","guid":{"rendered":"https:\/\/dotnewsconnect.co.za\/law\/?p=837"},"modified":"2019-01-30T12:10:13","modified_gmt":"2019-01-30T12:10:13","slug":"proving-your-claim-in-a-liquidation-or-sequestration-when-you-should-and-when-you-shouldnt","status":"publish","type":"post","link":"https:\/\/dotnewsconnect.co.za\/law\/2019\/proving-your-claim-in-a-liquidation-or-sequestration-when-you-should-and-when-you-shouldnt\/","title":{"rendered":"Proving Your Claim in a Liquidation or Sequestration \u2013 When You Should, and When You Shouldn\u2019t"},"content":{"rendered":"\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\"><p>\u201cA small debt produces a debtor; a large one, an enemy\u201d (Publilius Syrus, Roman writer)<\/p><\/blockquote>\n\n\n\n<p class=\"wp-block-paragraph\">You are owed money by a debtor, whose \u201cinsolvent estate\u201d is \u201csequestrated\u201d (in the case of an individual or trust) or \u201cliquidated\u201d (in the case of a company or other corporate).&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Master of the High Court appoints a \u201ctrustee\u201d (in the case of a sequestration), or a \u201cliquidator\u201d (in the case of a liquidation) to sell all the debtor\u2019s assets and to distribute the sale proceeds between proved creditors.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">When you learn of your debtor\u2019s sequestration\/liquidation, ensure firstly that the trustee\/liquidator knows that you are a creditor so that you receive reports on the financial position of the estate and on progress towards its finalisation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You will have an opportunity to lodge and prove your claim in the sequestration\/liquidation, which you do by completing a formal \u201cclaim form\u201d for proof at a meeting of creditors.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The question is \u2013 should you prove your claim or shouldn\u2019t you?&nbsp;<\/p>\n\n\n\n<h6 class=\"wp-block-heading\">Adding insult to injury &#8211; contributing to costs<\/h6>\n\n\n\n<p style=\"padding-left:50px\"><em>Note: For simplicity we\u2019ll refer below only to \u201cinsolvent estate\u201d, \u201csequestration\u201d and \u201ctrustee\u201d, but the principles apply equally to corporate liquidations.<\/em><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If you don\u2019t prove your claim as above, you won\u2019t receive any dividend and will effectively have to write off your debt entirely.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But the other side of the coin is that by proving your claim you may be exposing yourself to an even worse fate &#8211;<br><\/p>\n\n\n\n<ol class=\"wp-block-list\"><li>When the costs of sequestration of an insolvent estate exceed the funds in the estate available to pay them, the trustee of the estate recovers a \u201ccontribution\u201d from proved creditors to cover those costs.&nbsp;<br><\/li><li>In that case you as a proved creditor risk adding insult (having to pay a contribution into the estate) to injury (having to write off your original debt). That\u2019s why, as a creditor, you should be very wary of formally proving your claim against an estate until you are satisfied that no danger of contribution exists.&nbsp;<\/li><\/ol>\n\n\n\n<h6 class=\"wp-block-heading\">The special case of the \u201cpetitioning creditor\u201d<\/h6>\n\n\n\n<p class=\"wp-block-paragraph\">Now the rub here for the \u201cpetitioning creditor\u201d (the creditor who applied for the debtor\u2019s sequestration in the first place) is this \u2013&nbsp;whether or not you formally prove your claim in the estate, you must still contribute to the shortfall.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That\u2019s why, although applying for sequestration can be an excellent way of recovering debt from a recalcitrant debtor, it is essential to consider the danger of contribution&nbsp;before&nbsp;making any such application.&nbsp;<\/p>\n\n\n\n<h6 class=\"wp-block-heading\">What if you hold security for your claim?&nbsp;<\/h6>\n\n\n\n<p style=\"padding-left:50px\"><em>Note that we are only talking here about holding security over a debtor\u2019s asset\/s. If you hold outside security \u2013 a surety from a company director for example \u2013 you can recover that separately, entirely outside the sequestration\/liquidation process.<\/em><br><\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>If you hold some form of security for your claim, like a mortgage bond over the debtor\u2019s property for example, you are a \u201csecured creditor\u201d.&nbsp;<br><\/li><li>You need to prove your secured claim to be awarded the net proceeds of the property. In practice the trustee sells the \u201cencumbered\u201d property, pays out of the proceeds all costs directly related to that property \u2013 maintaining it, selling it, paying rates and taxes to pass transfer, the trustee\u2019s fees and so on \u2013 and then pays out the balance to you as secured creditor in an \u201cencumbered asset account\u201d.&nbsp;<br><\/li><li>On the other hand the proceeds of all unencumbered assets fall into the \u201cfree residue\u201d account, and if after being paid your secured dividend as above there is still a shortfall on your claim, that shortfall ranks in the free residue as a \u201cconcurrent\u201d claim.<br><\/li><li>And that\u2019s where your danger comes in \u2013 you are now in line to pay a contribution based on the concurrent portion of your claim.<br><\/li><li>The good news is that you can largely protect yourself from having to contribute by \u201crelying on the proceeds of your security\u201d in satisfaction of your claim. That means you waive your concurrent claim for any shortfall, but equally by removing your shortfall claim from the free residue account you no longer contribute together with other proved (or petitioning) creditors.<br><\/li><li>In some very restricted circumstances even relying on your security won\u2019t protect you from a contribution (for example when no one else has proved claims or other contributors are unable to pay their share), but relying on your security is the best protection you have.<\/li><\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Note that there are grey areas in some of these provisions, so there is no substitute to asking your lawyer for advice on your specific circumstances.\n\n<\/p>\n\n\n","protected":false},"excerpt":{"rendered":"<p>\u201cA small debt produces a debtor;
